Terms of Service
Terms governing your use of SyncO and the SyncO Shopify app.
Acceptance of terms
By installing or using the SyncO Shopify app ("SyncO", "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using SyncO on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree to these Terms, do not use the Service.
These Terms are a legal agreement between you ("Merchant", "you") and TechSpawn Solutions Private Limited ("TechSpawn", "we", "us").
Description of service
Synco is a Shopify-to-Odoo and Odoo-to-Shopify data synchronisation connector. The Service syncs orders, customers, and products from Shopify to Odoo, syncs inventory both ways across warehouses, and syncs fulfillment with tracking from Odoo back to Shopify. Synco operates as a Shopify app and communicates with Odoo over the standard Odoo JSON-RPC API.
Feature availability varies by subscription plan. Current plan details are displayed inside the SyncO app and on the Shopify App Store listing.
Account and subscription
Billing. SyncO subscriptions are billed through the Shopify billing system. By selecting a paid plan, you authorise Shopify to charge your payment method on a recurring basis at the plan rate. All charges are processed by Shopify and subject to Shopify's billing policies.
Free trial. New installs receive a 14-day free trial on eligible plans. No credit card is required during the trial. If you do not select a paid plan before the trial ends, access to paid features will be suspended.
Plan tiers. SyncO offers multiple plan tiers. Each tier includes a defined set of sync flows, job history retention, and support access. Upgrading or downgrading takes effect immediately through Shopify billing.
Cancellation. You can cancel your SyncO subscription at any time through the Shopify App Store (Apps > SyncO > Delete app, or via Shopify billing settings). Cancellation takes effect at the end of your current billing period. We do not issue refunds for partial billing periods unless required by applicable law.
Acceptable use
You agree to use SyncO only for lawful purposes and in accordance with these Terms. You must not: (a) use the Service in any way that violates applicable local, national, or international law or regulation; (b) attempt to reverse-engineer, decompile, or disassemble any part of the Service; (c) transmit data through the Service that infringes any third-party intellectual property right or that is unlawful, defamatory, or fraudulent; (d) use the Service to sync data at volumes or rates that deliberately degrade service for other users; or (e) attempt to gain unauthorised access to any part of the Service or its infrastructure.
Data ownership
You own your data. SyncO does not claim ownership of the orders, products, customer records, or inventory data that flows through the Service. By using SyncO, you grant TechSpawn a limited, non-exclusive licence to access, process, and transmit your data solely to the extent necessary to provide the synchronisation service. We do not sell your data and do not use it for any purpose beyond operating and improving the Service. See our Privacy Policy for full details.
Service availability
We aim to keep SyncO available and reliable, but we do not guarantee a specific uptime percentage at the $15–$30/month plan tiers. The Service is provided on a commercially-reasonable best-effort basis. Scheduled maintenance windows will be communicated in advance where practicable; emergency maintenance may occur with shorter notice.
If your business requires a formal Service Level Agreement (SLA) with guaranteed uptime and response time commitments, contact support@techspawn.com to discuss a dedicated SLA arrangement, available for Shopify Plus merchants on request.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHSPAWN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF TECHSPAWN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL TECHSPAWN'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS EXCEED THE AMOUNTS PAID BY YOU TO TECHSPAWN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless TechSpawn and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any data or content you transmit through the Service.
Termination
By you. You may terminate your use of SyncO at any time by uninstalling the app through the Shopify App Store. Your subscription will end at the close of the current billing period.
By us. TechSpawn may suspend or terminate your access to SyncO if you violate these Terms, engage in fraudulent activity, or fail to pay applicable subscription fees. We will attempt to notify you before suspension where reasonably practicable. In cases of serious violation, suspension may be immediate.
Upon termination, your right to use the Service ceases immediately. Sections relating to limitation of liability, indemnification, and governing law survive termination.
Governing law
These Terms shall be governed by and construed in accordance with the laws of [jurisdiction — to be confirmed by legal]. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in [city/country — to be confirmed by legal].
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify active subscribers by email or through the in-app notification system at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
